Contractual roles

When the quote is accepted, the B2B company as customer and the provider identified in the quote and invoice enter into the contract for the described service. The provider supplies the service in its own name and for its own account. Zeen Connect and the platform operator provide the digital marketplace, quotation, administration, document and payment workflow and are not the supplier of the booked service.

Provider responsibility

The provider is responsible for the accuracy of its quote, lawful and professional performance, required permits and licences, qualified personnel, insurance, health and safety, protection of confidential and personal data, its subcontractors and affiliated companies, quality, timeliness, complaints and damage arising from performance or non-performance. Using a subcontractor does not reduce the provider's responsibility to the customer.

Company obligations

The company provides accurate requirements and participant numbers, safe and suitable access to the agreed location, required internal permissions, timely cooperation and payment. Scope or schedule changes are confirmed through Zeen Connect.

Quote, invoice and payment

The scope, line items, taxes, total, selected schedule, validity, payment and cancellation terms of the accepted quote version apply. On acceptance, Zeen Connect automatically creates the provider's PDF invoice from the immutable accepted quote snapshot. Card payment is processed through Stripe Connect; the amount and platform fee are calculated on the server. The order is paid only after a signed Stripe webhook confirms successful payment.

Cancellation, refunds and complaints

The specific quote terms, the parties' agreement and mandatory law govern cancellation, rescheduling, refunds and complaints. Requests are handled through the platform to preserve an audit trail. If the service is cancelled or defective for reasons attributable to the provider, the provider is responsible for an appropriate remedy, repeat performance, credit note or refund to the extent required by the contract and mandatory law.

Platform role and limitation of liability

Zeen Connect is responsible for its own platform obligations under the contract and mandatory law but does not assume the provider's responsibility for professional content, personnel, safety or actual service delivery. Nothing excludes liability that cannot lawfully be excluded, including liability for intent, fraud, gross negligence, death or personal injury where such limitation is prohibited.

Records and disputes

The platform records the terms version, acceptance time, accepted quote version, order, invoice and payment audit trail. The parties should first attempt to resolve disputes through a documented platform complaint, without limiting any right to judicial or other remedies under mandatory law. Zeen Connect's general terms govern platform services; the provider-company contract and its applicable law govern service delivery.
